Terms of Service

These Terms of Service ("Terms") govern your use of TauRewards, a loyalty-program platform for Shopify merchants. By installing TauRewards on your Shopify store or otherwise using the Service, you agree to these Terms.

"Service," "TauRewards," "we," and "us" refer to TauRewards. "Merchant" or "you" means the business entity that installs and uses TauRewards on a Shopify store. "Customer" means a shopper of the Merchant's store who interacts with the loyalty program.

1. The Service

TauRewards provides software that helps Merchants run a customer loyalty program inside their Shopify store. The Service includes:

• A merchant dashboard for configuring program settings, viewing customers, transactions, and redemptions.
• An AI campaign agent that drafts promotions, simulates outcomes against your real data, and helps you launch campaigns with your explicit confirmation.
• Customer-facing surfaces (storefront balance widget, customer account block, order-status confirmation, automatic at-checkout discount).
• A REST API for custom integrations.

2. Eligibility and account

To use TauRewards you must be at least 18 years old, capable of forming a binding contract, and an operator of a Shopify store in good standing. By installing TauRewards from the Shopify App Store you represent that you have the authority to bind the Merchant entity to these Terms.

You are responsible for safeguarding your TauRewards account credentials, your Shopify installation, and any API keys we issue you. Notify us immediately if you suspect any unauthorized access.

3. Loyalty points

TauRewards facilitates the issuance and redemption of loyalty points within your store's program. The points themselves represent a promotional courtesy extended by you (the Merchant) to your Customers, not by TauRewards. Accordingly:

• Points have no cash value, no monetary equivalent outside the Merchant's store, and are not exchangeable for currency.
• Points are not a financial instrument, security, or payment method. They are not redeemable for cash, transferable to other accounts, or assignable to third parties.
• You retain full discretion over your program parameters: earn rate, point value, redemption threshold, expiry rules, and eligibility criteria.
• You may revoke or adjust points where fraud, abuse, or program-rule violations are detected. TauRewards provides tools to make these adjustments but does not arbitrate disputes between you and your Customers.
• Pending redemption codes created at checkout expire after a configurable window (default 7 days). If expired without use, TauRewards automatically returns the held points to the Customer's balance.

4. Customer data

As a Merchant using TauRewards, you remain the data controller for your Customers' personal data. TauRewards acts as a data processor on your behalf. You agree to comply with applicable data protection laws (GDPR, CCPA, and similar regulations) when collecting Customer data via Shopify, including providing your Customers with appropriate privacy notices and honoring their rights regarding their personal data.

5. AI campaign agent

The AI agent provides recommendations, simulations, and copy suggestions. You understand that:

• The agent's outputs are advisory. You retain full control over which promotions go live, and the agent does not launch anything without your explicit confirmation.
• Projections (ROI, expected participation, expected revenue lift) are estimates based on historical data and statistical assumptions. Actual results may differ.
• You are responsible for reviewing generated marketing copy for accuracy, compliance with applicable advertising laws, and consistency with your brand voice before publishing.
• We rely on third-party large-language-model providers (currently xAI) and cannot guarantee that the agent's outputs are free of error, bias, or hallucination.

6. Acceptable use

You agree not to:

• Use TauRewards to operate a loyalty program that violates applicable consumer protection, marketing, sweepstakes, or financial regulations.
• Reverse-engineer, decompile, or otherwise attempt to extract the source code of TauRewards, except where such restrictions are prohibited by law.
• Use TauRewards to send unsolicited commercial communications ("spam") to Customers who have not opted in.
• Attempt to gain unauthorized access to TauRewards, other Merchants' data, or the underlying infrastructure.
• Use TauRewards in any way that infringes on third-party intellectual property rights.
• Resell, sublicense, or redistribute the Service to a third party without our written consent.

7. Fees and payment

Pricing for TauRewards is published on the Shopify App Store listing and in your TauRewards dashboard. Subscription fees are billed by Shopify on our behalf according to the cadence shown at install. You authorize Shopify to charge your selected payment method for these fees.

We reserve the right to change pricing with at least 30 days' notice to active Merchants via email or the in-app dashboard. Pricing changes apply at the start of the next billing cycle. Free-tier features may be modified or removed at our discretion, but Merchants on a paid plan will retain their current entitlements through the end of their current billing cycle.

8. Service availability

We aim to keep TauRewards available 24/7 but do not guarantee uninterrupted service. Planned maintenance, third-party platform outages (Shopify, our hosting providers), and unforeseen technical issues may temporarily disrupt access. We will use commercially reasonable efforts to minimize downtime and to communicate scheduled maintenance in advance.

9. Termination

You may terminate your use of TauRewards at any time by uninstalling the app from your Shopify admin. Upon uninstall, your Shopify access token is invalidated and a 48-hour grace window begins, after which Shopify's shop/redact webhook triggers a permanent deletion of all data we hold for your shop.

We may suspend or terminate your access if you violate these Terms, fail to pay fees, attempt to defraud or harm the Service or other Merchants, or if required by law. We will provide notice and an opportunity to cure where reasonably possible.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL TAUREWARDS, ITS OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

12. Indemnification

You agree to indemnify and hold harmless TauRewards from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, your violation of applicable law, or your infringement of any third party's rights.

13. Intellectual property

TauRewards, including its software, design, brand marks, and documentation, is owned by us and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our intellectual property except for the limited right to use the Service as described.

You retain ownership of your Merchant data and your Customers' data. You grant us a limited license to use that data solely to operate the Service on your behalf.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated to active Merchants via email or through the in-app dashboard with at least 14 days' notice before taking effect. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.

15. Governing law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of laws principles. Any dispute arising out of or related to these Terms will be resolved in the state or federal courts located in Texas, and you consent to the personal jurisdiction of those courts.

16. Miscellaneous

• If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
• Our failure to enforce a right or provision is not a waiver of that right or provision.
• You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
• These Terms, together with our Privacy Policy, constitute the entire agreement between you and TauRewards regarding the Service.
